Abstract

Investment in the form of public-private partnerships, which has been implemented in Vietnam since 1997. Legal documents have been adjusted and completed gradually over time. The Law on Investment in the form of public-private partnerships was promulgated by the National Assembly in 2020 with the purpose of promoting the attraction of private capital to invest in the infrastructure sector, minimizing unwanted negative effects of implemented projects. according to this method. However, domestic and international private capital has not yet achieved expectations. The article analyzes current legal regulations on investment project contracts in the form of public-private partnerships in Vietnam, clarifying new points and problems faced by related parties, especially the private sector such as unclear terms on rights, responsibilities, criteria for determining alternative investors, transfer value, status between parties, lack of standard contract forms... These problems engender disputes, losses, and waste of resources. Hence, the article proposes recommendations and clarifies existing issues, so that regulations on investment project contracts under the public-private partnership method are more completed, facilitating more for investors and management agencies in project implementation.
