Abstract

Abstract: A no-challenge clause is commonly found in technology transfer or
intellectual property licensing agreements. Under such a clause, the transferee
(licensee) is prohibited from disputing or challenging the validity of the transferred
technology or industrial property rights. Although the parties freely negotiate and
include this clause based on principles of equality and mutual consent, it may
nonetheless create anticompetitive effects. Consequently, in addition to contract law and
intellectual property law, some jurisdictions have relied on competition law to regulate
no-challenge clauses. This article analyzes how these clauses are governed in several
countries and examines their relevance to Vietnamese law.
