Abstract

Abstract: Quasi-contract is a legal concept in the Common Law system, designed to
resolve situations in which one party receives a benefit from another without the
existence of a formal contract. In Vietnam, this concept is not explicitly recognised;
however, the 2015 Civil Code contains provisions with comparable functions,
particularly regarding restitution and non-contractual compensation. This article
analyzes the concept of quasi-contract in the English legal system and compares it with
analogous provisions in Vietnamese law, thereby clarifying the similarities and
differences between the two legal frameworks.
