Abstract

Abstract: This article analyzes the Croatian Criminal Code’s provisions on
corporate criminal liability, thereby clarifying the notion of an “offence,” the model of
corporate liability, the range of entities subject to criminal responsibility, the
conditions under which a legal person may be prosecuted, and the sanctions and
ancillary measures available. On this basis, it assesses the points of convergence and
divergence between the Vietnamese and Croatian frameworks for corporate criminal
liability and offers targeted recommendations for enhancing Viet Nam’s own legal
regime in this domain.
