The concept and legal nature of securities offering

Abstract

Concept building is a prerequisite for forming and consolidating the theoretical basis in legal science, ensuring the understanding and consistent application of legal provisions. In the 2019 Law on Securities, securities offering is a crucial institution that aims to regulate social relationships arising during the period of creating goods for the market. However, Vietnam’s system of legal documents on securities does not have a clear definition for this term. Consequently, this paper analyses the legal nature and determines the connotation of securities offering to propose the establishment of a unified definition of this institution, contributing to improving the law on securities offering, facilitating law enforcement, and creating a theoretical basis for research activities in this field.
