Abstract

In the context of business operations, it is imperative to recognize that a company cannot act independently. Rather, it must depend on specific individuals to act as representatives on its behalf. These individuals can take on various roles, such as Director, Chairman of the Board of Director, employee, or even a third party with whom a representative contract has been signed. Recent cases, including those involving Huynh Thi Huyen Nhu, Ha Van Tham, Nguyen Xuan Son, and Chu Thi Binh, have underscored the criticality of representation issues. Or most recently, the incident at Saigonbank also rang a warning bell about the issue of corporate governance control. In this paper, the author delves into the intricacies of representatives for enterprises by exploring various types of representatives and their roles, while also highlighting the regulatory hurdles that businesses may encounter.
